Terms of Service

1. Acceptance of Terms
By accessing or using Sklyz (sklyz.com), the Sklyz API (api.sklyz.com), or any related services, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
2. Description of Service
Sklyz provides AI-powered workflow intelligence, directive analysis, ROI scoring, and business execution planning tools. Services are delivered via web application, REST API, embeddable widget, and professional consulting.
3. User Obligations
- You must be at least 18 years old to use Sklyz.
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree not to use Sklyz for any illegal, harmful, or abusive purposes.
- You agree not to reverse engineer, decompile, or extract the underlying models or algorithms.
- You agree not to submit personal data of third parties without their consent.
4. Intellectual Property
All content, code, designs, algorithms, workflows, and documentation on Sklyz are the exclusive property of Sklyz and its licensors. The Sklyz name, logo, and brand are trademarks. You may not use them without written permission.
You retain ownership of the directives and content you submit. By submitting, you grant Sklyz a limited license to process and analyze that content to provide the service.
5. API Usage
- API access is subject to rate limits. Abuse may result in throttling or termination.
- You may not use the API to build competing products.
- API keys are issued per user and may not be shared or resold.
- We reserve the right to modify or discontinue API endpoints with reasonable notice.
6. Payment Terms
- Setup Sprint pricing ($300–$750) is a one-time project fee. Payment is due before work begins.
- Subscription pricing ($29–$149/month) is billed monthly in advance. Cancel anytime.
- Enterprise licenses are priced per deployment. Custom terms apply.
- All payments are processed through Stripe (via Composio). We do not store credit card details.
- Refunds: Setup Sprints are non-refundable after work has commenced. Subscriptions are non-refundable for the current billing period.
7. NDA Protocol (Hot Key Deployment)
Sklyz offers an optional Non-Disclosure Agreement ("NDA Hot Key") protocol. Upon activation, a legally-binding mutual NDA is instantiated between Sklyz and the user for the specific interaction session. This NDA covers:
- All directives, queries, and outputs generated during the session
- Business strategies, trade secrets, and proprietary information disclosed
- Non-compete provisions for the specific domain discussed
- Fee: $2.00 per token processed during NDA-protected sessions
The NDA Hot Key is a privately developed legal instrument. By activating it, both parties agree to binding arbitration in the jurisdiction specified during activation.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Sklyz is provided "AS IS" without warranties of any kind.
- We do not guarantee that outputs are accurate, complete, or suitable for your specific use case. All outputs should be reviewed by qualified professionals.
- Sklyz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Sklyz, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.
10. Termination
We may suspend or terminate your access for violation of these Terms, with or without notice. Upon termination, your right to use Sklyz ceases immediately. You may request data export within 30 days of termination.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive the right to participate in class action lawsuits.
12. SOC 2 Compliance
Sklyz maintains security controls aligned with SOC 2 Type II Trust Services Criteria: Security, Availability, Processing Integrity, Confidentiality, and Privacy. Our SOC 2 compliance framework includes:
- Annual third-party audits
- Continuous monitoring and alerting
- Access control and authentication management
- Encryption of data at rest and in transit
- Incident response and disaster recovery procedures
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email and/or platform notification. Continued use after changes constitutes acceptance.
